Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Drafteroo (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Accounts

You must create an account to use most features. You are responsible for the activity that occurs under your account and for keeping your credentials secure. Accounts are created and authenticated through our identity provider. You must provide accurate information and promptly update it as needed.

2. Teams, seats, and reviewers

The Service is organized around teams. Administrators and Members occupy paid seats and can upload, edit, and manage content. Reviewers are granted project-scoped access at no charge. The team administrator is responsible for managing membership and access.

3. Subscriptions and billing

• Paid plans are billed in advance on a monthly or annual basis through our payment processor.
• Paid plans may begin with a free trial; you will not be charged until the trial ends.
• Fees are based on your selected plan and number of paid seats, and are non-refundable except where required by law.
• You may upgrade, downgrade, or cancel at any time; changes take effect according to your billing cycle.
• If a payment fails, we may restrict certain features (such as uploads) until the balance is resolved.

4. Acceptable use

You agree not to:

• Upload content you do not have the right to share, or that infringes the rights of others.
• Upload unlawful, harmful, or malicious content, including malware.
• Attempt to gain unauthorized access to the Service or other users' data.
• Use the Service to violate any applicable law or regulation.
• Interfere with or disrupt the integrity or performance of the Service.

5. Your content

You retain all ownership of the documents and other content you upload (“Your Content”). You grant us a limited license to host, store, process, and display Your Content solely to operate and provide the Service to you and the people you share it with.

6. Service availability

We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. We may also perform maintenance that temporarily limits availability.

7. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ceases and we may delete Your Content in accordance with our data retention practices.

8. Disclaimers and limitation of liability

The Service is provided “as is” without warranties of any kind, to the maximum extent permitted by law. To the fullest extent permitted by law, we will not be liable for any indirect, incidental, or consequential damages, or for any loss of data, revenue, or profits arising from your use of the Service.

9. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
